WHMCS QuickBooks Online Sync Module

1. ACCEPTANCE OF TERMS

By installing, accessing, or using the WHMCS QuickBooks Online Sync Module (the “Software”), you (“Licensee,” “you,” or “your”) agree to be bound by the terms and conditions of this End-User License Agreement (“Agreement”). If you do not agree to these terms, do not install or use the Software.

2. GRANT OF LICENSE

Subject to the terms of this Agreement, Licensor grants you a limited, non-exclusive, non-transferable license to:

  • Install and use the Software on a single WHMCS installation
  • Use the Software for synchronizing data between your WHMCS installation and QuickBooks Online
  • Make reasonable backup copies of the Software for archival purposes

3. RESTRICTIONS

You may NOT:

  • Redistribute or resell the Software or any portion thereof
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or modify any copyright notices, trademarks, or other proprietary markings
  • Create derivative works based on the Software
  • Use the Software on multiple WHMCS installations without additional licenses
  • Share your license with third parties or use it for commercial redistribution
  • Sublicense, rent, lease, or lend the Software to any third party

4. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is licensed, not sold. All right, title, and interest in and to the Software, including all intellectual property rights, remain with the Licensor. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Licensor.

5. THIRD-PARTY INTEGRATIONS

This Software integrates with:

  • WHMCS – Subject to WHMCS’s own terms of service
  • QuickBooks Online – Subject to Intuit’s terms of service and API usage policies
  • Intuit Developer APIs – Subject to Intuit’s developer agreement

You are responsible for compliance with all applicable third-party terms and obtaining necessary licenses or permissions.

6. DATA AND PRIVACY

6.1 Data Processing

The Software processes and synchronizes data between WHMCS and QuickBooks Online, including:

  • Client/Customer information
  • Invoice data
  • Payment records
  • Associated metadata

6.2 Data Security

You acknowledge that:

  • Data transmission occurs over secure encrypted connections
  • You are responsible for maintaining secure API credentials
  • You should regularly backup your data before synchronization
  • The Software stores minimal mapping data locally in your WHMCS database

6.3 Compliance

You are responsible for ensuring that your use of the Software complies with:

  • Applicable data protection laws (GDPR, CCPA, etc.)
  • Industry regulations relevant to your business
  • Your own privacy policies and terms of service

7. DISCLAIMERS AND WARRANTIES

7.1 AS-IS BASIS

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 NO GUARANTEE OF PERFORMANCE

Licensor does not warrant that:

  • The Software will meet your specific requirements
  • Operation will be uninterrupted or error-free
  • All defects will be corrected
  • The Software will be compatible with future versions of WHMCS or QuickBooks Online

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

8.1 Exclusion of Damages

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data or business interruption
  • Cost of substitute software or services
  • Damage to reputation or goodwill

8.2 Cap on Liability

LICENSOR’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Licensor from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Software
  • Your violation of this Agreement
  • Your violation of any applicable laws or third-party rights
  • Any data breach or security incident involving your systems

10. SUPPORT AND MAINTENANCE

10.1 Support Level

Licensor may provide technical support at its discretion but is not obligated to provide any specific level of support, maintenance, or updates.

10.2 Updates

Any updates, patches, or new versions of the Software may be subject to additional or modified terms.

11. TERMINATION

11.1 Termination by You

You may terminate this license at any time by discontinuing use of the Software and destroying all copies.

11.2 Termination by Licensor

This license terminates automatically if you violate any terms of this Agreement.

11.3 Effect of Termination

Upon termination:

  • Your right to use the Software immediately ceases
  • You must destroy all copies of the Software
  • Provisions regarding liability, indemnification, and intellectual property survive termination

12. EXPORT COMPLIANCE

You acknowledge that the Software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and will not export, re-export, or transfer the Software in violation of such laws.

13. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of Massachusetts, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Massachusetts.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous communications and proposals.
